The company GR. SARANTIS S.A. announces, according to the articles 3 and 21 of the L.3556/2007 and the provisions of the Regulation (EU) No 596/2014 of the European Parliament and of the Council, the following:

Zalek S.A., a closely associated legal entity of Mr. Grigoris Sarantis (Chairman of the company’s BoD), bought on April 28^th of 2023 15,614 common shares in total at the average price of 6.96 euro per share.
Alexandros Sarantis, a closely associated person of Mr. Grigoris Sarantis (Chairman of the company’s BoD), bought on April 28^th of 2023 21,565 common shares in total at the average price of 6.98 euro per share.
Hawkeye Holdings Ltd., a closely associated legal entity of Messrs. Kyriakos Sarantis, Grigoris Sarantis and Aikaterini Sarantis, members of the Company's Board of Directors, on April 28^th 2023 bought 74,700 common shares at an average price of 7.14 euros per share.

Announcement of significant change to the voting rights according to Law 3556/2007

GR. SARANTIS S.A. (“the Company”), pursuant to the provisions of Law 3556/2007 and following a notification received from FMR LLC on August 8 th, 2025, announces that, as a result of a disposal of voting rights, the total percentage of voting rights indirectly held by FMR LLC through controlled undertakings in the Company, fell below the 10% threshold on August 7 th , 2025, reaching 9.
